Participation constitutes entrant’s full and unconditional agreement to abide by and be bound by these Official Rules and the Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning any Prize is contingent upon fulfilling all requirements set forth herein. Sponsor’s decisions as to the administration and operation of the Sweepstakes and the selection of the potential winner is final and binding in all matters related to the Sweepstakes. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations.

The FinditParts Harley Davidson Sweepstakes (the "Sweepstakes") is administered by FinditParts (“FIP”, or "Sponsor”). By participating in the Sweepstakes and by visiting the Sweepstakes Site (defined below), you agree to the Terms of Use located at https://www.finditparts.com/privacy.

You are providing your information to FinditParts, and the information you provide will only be used in accordance with FIP’s privacy policy, which may be found at: https://www.finditparts.com/privacy. By participating in the Sweepstakes, you acknowledge and agree to the terms set forth in our privacy policy.

A. Online Entry Opt-In

To enter the Sweepstakes, navigate to https://www.finditparts.com/sweepstakes/harley-davidson-giveaway (the "Sweepstakes Site") on any internet connected web browser to enter the Sweepstakes. You will be asked to complete and submit an online entry form that includes email, phone number, and any other requested information.

B. Mobile Phone Text Entry Opt-In

Text HARLEY to 29691 using your two-way text-messaging capable device to enter the Sweepstakes. Then, input the requested information to confirm your agreement to receive Sweepstakes-related text messages. If you wish to opt out, text STOP to 29691. Text HELP to 29691 for help. Email questions to support@finditparts.com. By texting HARLEY to 29691, you agree that you are providing Sponsor and its representatives your express written consent to receive from them autodialed text messages related to the Sweepstakes in response to each of your text entries.

You may also have the option to opt-in to our promotional SMS texting services, including by responding “Y” to our SMS message from 29691 requesting whether you would like to opt-in to such promotional text messages (“Promotional SMS Texting Services”). Such SMS message will only be sent to you if you enter the Sweepstakes by mobile phone in accordance with the above. If you reply “N” or do not reply, you will not be signed up for Promotional SMS Texting Services. You are not required to sign up for Promotional SMS Texting Services to enter the Sweepstakes. By signing up for Promotional SMS Texting Services, you agree that FIP may send you promotional texts (including SMS and MMS) messages, including recurring text messages, to any phone number you provide to us. When you opt-in to the Promotional SMS Texting Services, we will send you an SMS message to confirm your signup. We may also send additional informative messages on occasion, such as reminders to you that you are subscribed along with a reminder on how to opt out. The number of text messages you will receive may vary. You can cancel the Promotional SMS Texting Services at any time. Just text “STOP” to 29691. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive promotional SMS or MMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS and/or MMS messages to you again. If at any time you forget what keywords are supported, just text “HELP” to 29691. After you send the SMS message “HELP” to us, we will respond with instructions on how to use our Promotional SMS Texting Services as well as how to unsubscribe. FIP or our service providers may use an automatic telephone dialing system to deliver text messages to you through our Promotional SMS Texting Services. By opting in to our Promotional SMS Texting Services, you consent to FIP’s or our service providers’ use of an automatic dialing system to deliver text messages to the telephone number to which you have directed FIP to transmit these text messages. BY SIGNING UP FOR THE PROMOTIONAL SMS TEXTING SERVICES, YOU AGREE TO RECEIVE MARKETING TEXT MESSAGES FROM US. HOWEVER, YOU ACKNOWLEDGE THAT YOU ARE NOT REQUIRED TO CONSENT TO RECEIVE MARKETING TEXTS AS A CONDITION OF PARTICIPATING IN THE SWEEPSTAKES.

If you enter the Sweepstakes by text message or otherwise opt-in to receive promotional text messages from us, your wireless service provider's text message and data rates apply. Consult your wireless service provider’s pricing plan for details. You agree to incur any and all charges demanded by your wireless carrier. The device used to enter must be capable of sending and receiving text messages. Check your device’s features to confirm its two-way messaging capability and check your device manual for specific use instructions. Entry via text messaging may be limited and may not be available through all wireless carriers or using all handsets. Supported carriers include AT&T™, T-Mobile, Verizon Wireless, U.S. Cellular, Sprint, Boost Mobile, and Metro PCS. Consent to receive Sweepstakes-related text messages is not required to purchase property, goods or services. Your participation in the Sweepstakes is subject to the Sponsor’s Privacy Policy, which can be viewed by visiting https://www.finditparts.com/privacy.

C. Mail-in Entry

To participate in the Sweepstakes without entering online or by mobile device, legibly hand print your full name, complete non-P.O. box address (including zip code), email address, and telephone number, on a 3 ½” x 5” card and mail it, with proper postage affixed, to FinditParts, 1308 Factory Place, Suite 112, Los Angeles, CA 90013 to the attention of “FIP Sweepstakes Sponsor.” All mail-in entries must be received by Sponsor during the Sweepstakes Period in order to qualify as an eligible entry.

Photocopied, illegible, or mechanically reproduced entries are not eligible. All entries become the property of the Sponsor and will not be returned or acknowledged. Sponsor is not responsible for lost, late, damaged, misdirected or postage-due mailed entries.

You may obtain unlimited entries to participate in this Sweepstakes. Entries generated by script, macro, mechanical or other automated means are void. Multiple entries received from any person in excess of the stated limitation will be void. Multiple participants are not permitted to share the same phone number, email address or device used to enter. Any attempt by any participant to obtain fraudulent entries by using multiple/different email addresses, devices, identities, registrations or logins, or any other methods will void that participant’s entries and that participant may be disqualified from the Sweepstakes. In the event of a dispute as to any entry, the authorized account holder of the device or email address used to enter will be deemed to be the entrant. The "authorized account holder" of an email address is the natural person assigned to an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. The "authorized account holder" of a device is the natural person in whose name the Apple ID account, Google account, or other similar account on the device has been registered. A potential winner may be required to show proof of being the authorized account holder.

4. Prizes/Approximate Retail Value (“ARV”) / Odds

First Prize: 2020 Harley-Davidson® FXST - Softail® Standard motorcycle (ARV $18,000)

Second Prize: $500 Harley Davidson digital gift card (ARV $500)

Third Prize: $250 Harley Davidson digital gift card (ARV $250)

Total ARV of all prizes available to be won: $18,750.

Odds of winning depend on the number of eligible entries received.

5. Winner Selection, Notification, and Verification

On or about May 31, 2021, the winners will be randomly selected from among all eligible entries received during the Sweepstakes Period. Sponsor will notify the potential winners via SMS message if the potential winner entered the Sweepstakes through the Sweepstakes Site or by mobile phone, or via email if the potential winner entered by mail. The potential winners are subject to verification of eligibility, including verification of residency.

If a potential winner (i) is determined to be ineligible or otherwise disqualified by Sponsor or (ii) fails to respond to Sponsor’s first winner notification message within twenty-four (24) hours of notification or after two (2) attempts (whichever occurs first), the potential winner forfeits the prize in its entirety and, if time permits, a substitute potential winner will be selected based upon a random drawing from among all other eligible entries received for the Sweepstakes during the Sweepstakes Period.

As a condition of receiving a Prize, the potential winner must sign and return any documents requested by Sponsor, including but not limited to, an affidavit of eligibility and a form release of liability within twenty-four (24) hours of accepting the Prize. Receiving the Prize is contingent upon compliance with these Official Rules. The winner will be issued an IRS Form 1099 in the amount of the Approximate Retail Value (“ARV”) of the Prize and must provide Sponsor with his/her valid Social Security Number or Taxpayer ID for tax reporting purposes. Noncompliance with this requirement will result in disqualification of the potential winner and the forfeiture of all interest in the Prize. The winner is solely responsible for all federal, state, local, or other applicable taxes associated with the acceptance and use of the Prize.

Out of date or incorrect information provided at the time of entry may disqualify you from receiving a Prize. Failure to provide valid, working contact information in connection with your entry may result in forfeiture of a Prize. Sponsor expressly reserves the right to disqualify any entry that it believes in good faith may have been generated by automated means or scripts, or that violates any of these Official Rules or the Terms of Use. Any entry generated by script, macro or other automated means will be considered as void. Decisions of Sponsor are final and binding with respect to all matters related to the Sweepstakes.

6. Prize Conditions

Following the determination and verification of the eligible winners, Sponsor will notify such winners of the estimated ship date of the Prize and Sponsor will be responsible for costs associated with shipment of the Prize to such winners. The method of shipping and the carrier will be determined in the sole discretion of Sponsor. Sponsor is not responsible for any Prize (or part thereof) that is lost, stolen, undeliverable, or returned.

All costs and expenses associated with Prize acceptance and use not specifically provided herein are the sole responsibility of each winner.

Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any Prize furnished in connection with the Sweepstakes. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE PRIZE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

Sponsor has neither made nor is responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the components of the Prize manufactured or otherwise made available by third parties, including but not limited to the quality, mechanical conditions, or fitness for a particular purpose. Entrants agree to look solely to the third-party manufacturers for any such warranty, representation, or guarantee.

Prizes have no cash value. No substitution, cash equivalent or transfer of any Prize is permitted except at Sponsor’s sole discretion. Each winner agrees that the Prize or any portion thereof awarded is personal to such winner and may not be sold, resold, auctioned, bartered, assigned, exchanged, placed in commerce, transferred, given away, donated or otherwise conveyed.

In no event shall Sponsor be obligated to award any Prize other than the Prize specified for the Sweepstakes as provided in these Official Rules. Sponsor does not guarantee that the Prize can be made available to the winner. The Prize is subject to availability and if the Prize, or any part thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute a prize of equal or greater value if such advertised Prize becomes unavailable. All Prize details are at Sponsor’s sole discretion. A violation of these Official Rules shall revoke such winner’s right to receive the Prize, and the Prize will not be honored.

Gift cards are not redeemable for cash and will not be replaced if lost or stolen. Gift card usage is subject to the issuing company’s complete terms and conditions, including expiration dates.

7. Publicity.

Unless prohibited by applicable law, your participation in the Sweepstakes and/or acceptance of any Prize constitutes your permission for Sponsor to use your name, submissions, photograph, likeness, voice, address (city and state) and testimonials in any and all media, including but not limited to social media, whether now in perpetuity, in any manner Sponsor deems appropriate for publicity purposes without any compensation to you or any review or approval rights, notifications, or permissions; and constitutes your consent to disclose your personally identifiable information (in accordance with our privacy policy) to third parties (including, without limitation, placing the winner’s name on a winner’s list). Notwithstanding any rights of publicity, privacy or otherwise (whether or not statutory) anywhere in the world, your acceptance of a Prize constitutes your acknowledgement and agreement that you (i) are providing Sponsor (and its agents, consultants and employees) with the right to photograph, record, tape, film and otherwise visually and audio visually record you; (ii) authorize Sponsor (and its agents, consultants and employees) to use, reproduce, disseminate, alter, edit, dub, modify, distort, add to, subtract from, process and otherwise exploit any results of such activity (including without limitation any manner in which such activity may be recorded or remembered or modified) or derivatives or extensions or imitations thereof in any manner that Sponsor sees fit, in any medium or technology known or hereinafter invented, throughout the universe in perpetuity, including without limitation for illustration, art, promotion, advertising, trade or any other purpose whatsoever; and (iii) relinquish any right that you may have to examine or approve the completed product or products or the advertising copy or printed matter that may be used in conjunction therewith or the use to which it may be applied.

8. Limitations of Liability and Release

Participation/entry in the Sweepstakes is at a person’s own risk. Sponsor and each of its respective parents, subsidiaries and affiliated entities, directors, officers, employees, attorneys, agents, and representatives (collectively, the "Released Parties") assume no liability for, and you hereby waive and release the Released Parties from, any actions, claims, losses or injuries (“Claims”) of any kind arising in connection with the Sweepstakes and/or the receipt or misuse of any Prize, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter. The Released Parties assume no liability for, and hereby disclaim liability for any Claims related to (i) failed, returned or misdirected notifications based on inaccurate information provided by any person in connection with an entry; (ii) an entry and/or response to a potential winner notification which may be lost, late, incomplete, illegible, unintelligible, postage-due, misdirected, damaged or otherwise not received by the intended recipient in whole or in part; (iii) computer or technical errors of any kind, including electronic miscommunications or failures, technical hardware or software failures of any kind, lost or unavailable network connections, inaccessibility of any website in whole or in part for any reason, or traffic congestion on the Internet or any website; (iv) injury or damage to entrant’s or any other person’s computer or mobile device related to or resulting from use of the Sweepstakes Site, a Sponsor website, any other website, or otherwise in connection with the Sweepstakes; (v) any warranty with respect to any Prize or any component thereof; (vi) the ability or inability to upload or download any information in connection with the Sweepstakes and/or the acceptance or use of the Prize, including without limitation liability for personal injury, damages, death, monetary loss, defamation or violation of privacy rights; (vii) failure of any online transmissions to be sent or received; lost, late, delayed, incomplete, inaccurate, damaged, destroyed, misdirected or not received or intercepted transmissions; (viii) unauthorized human or non-human intervention of the operation of the Sweepstakes, including without limitation, unauthorized access, tampering, hacking, theft, viruses, bugs, or worms; (ix) destruction of any aspect of the Sweepstakes, or loss, miscount, misdirection, inaccessibility or unavailability of any email or social media account used in connection with the Sweepstakes; (x) any errors, omissions, interruptions, deletions, defects, delays in operation failures or human error that may occur in the transmission, receipt or processing of entries, or for deletion, theft or destruction of, unauthorized access to, or alteration of, entries; or (xi) any causes beyond Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Sweepstakes. NOTWITHSTANDING ANYTHING ELSE HEREIN OR OTHERWISE, SPONSOR SHALL NOT BE LIABLE OR OBLIGATED WITH RESPECT TO ANY SUBJECT MATTER OF THESE OFFICIAL RULES, THE SWEEPSTAKES OR UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR (A) ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE, GOODWILL, OR ANTICIPATED PROFITS) OR (B) DATA LOSS OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO PORTIONS OF THE ABOVE MAY NOT APPLY TO YOU.

9. Disclaimer

Any entries submitted in a manner that is not expressly allowed under these Official Rules or cheating or fraud by any entrant will result in disqualification. Sponsor is not responsible for any typographical errors, any incorrect or inaccurate information, whether caused by entrants, site users, tampering, hacking or printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes in the announcement of the Prize or these Official Rules, or any inaccurate or incorrect data contained on any the Sweepstakes Site or any other website. Use of any the Sweepstakes Site or any other website is at user’s own risk. Sponsor is not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer (hardware or software) and/or other device related to or resulting from participation in the Sweepstakes or the acceptance or use of any Prize awarded. The use of third-party software or website or automated entry systems to participate is prohibited, and Sponsor reserves the right to disqualify entries made in such fashion.

THE SWEEPSTAKES IS PROVIDED “AS IS” AND SPONSOR DOES NOT MAKE ANY, AND HEREBY DISCLAIMS ANY AND ALL, REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING THE SWEEPSTAKES.

10. Sponsor’s Reservation of Rights

If the Sweepstakes is not capable of running as planned for any reason, including without limitation, due to a force majeure event or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, government orders, natural disasters, the effects of COVID-19 or any pandemic or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Sponsor reserves the right, at its sole discretion, to modify, suspend, or cancel the Sweepstakes. In the event of cancellation, Sponsor reserves the right to retain any remaining Prizes that have not been won by eligible entrants.

Sponsor reserves the right at its sole discretion to disqualify any individual for: (a) tampering with the computer programs associated with the Sweepstakes, the entry process or the operation of the Sweepstakes; (b) using unauthorized methods for participation/entry; (c) acting in violation of these Official Rules or any laws; (d) attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, misappropriation, infringement, or any other unfair playing practices; (e) obtaining other entrants’ contact information by any means; (f) spamming any other entrant; (g) acting in a way that is intended to annoy, abuse, threaten, or harass any other participants, Sponsor, or its respective representatives; or (h) any other form of abuse or violation of the Terms of Use or these Official Rules. Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend this Sweepstakes or any portion hereof, or to disqualify any individual implicated in any of the following actions, if for any reason.

11. LEGAL WARNING: ANY ATTEMPT TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES, THE SWEEPSTAKES SITE, AN SPONSOR WEBSITE OR SOCIAL MEDIA ACCOUNT MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE SWEEPSTAKES. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. All federal, state, and local laws and regulations apply.

Sponsor may prohibit an entrant from participating in the Sweepstakes or winning the Prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or any Sweepstakes Parties.

12. Additional Release

The Sweepstakes are in no way sponsored, endorsed or administered by, or associated with, Harley Davidson. Any questions, comments or complaints regarding the administration of this Sweepstakes should be directed to Sponsor and not to Harley Davidson. You hereby agree to release Harley Davidsonfrom any and all liability arising from, or in connection with, this Sweepstakes.

13. Disputes/Venue/Governing Law

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, Sponsor or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

DISPUTES: The parties hereto each agree to finally settle all disputes only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the state and federal courts in Los Angeles County, CA and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Santa Monica, CA. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in Los Angeles, CA. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.

In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials or made by any advertising partner or other partner of Sponsor, and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.

14. Severability

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
